WARHORSE OVERLAND, LLC TERMS OF SALE, ASSUMPTION OF RISK, LIABILITY WAIVER & RETURN POLICY**
1. Sale Condition
The trailer and all related products (“Product”) are sold AS IS, With all facults, and without any express or implied
warranties, except as expressly stated in writing by Warhorse Overland, LLC (“Seller”).
Buyer acknowledges receipt of the Product and acceptance of its condition. Final payment constitutes full
acceptance of the Product as delivered.
2. Payment Terms and Deposit Refunds
Unless otherwise agreed in writing:
50% deposit due at order placement
50% balance due at completion, prior to release or shipment
Deposits:
Deposits secure production scheduling, materials procurement, and fabrication capacity. They are not a retainer
and do not guarantee refundability except as expressly stated below.
Pre-Fabrication Cancellation – Deposit Fully Refundable
If Buyer cancels the order prior to the start of fabrication, the deposit is 100% refundable, provided the trailer
configuration is not materially custom or unique.
Seller shall determine, in its reasonable discretion, whether fabrication has commenced.
Post-Fabrication Start – Deposit Conditionally Refundable
If Buyer cancels after fabrication has begun but prior to powder coating:
Up to 50% of the deposit may be refunded
The remaining 50% is retained to cover labor, materials, and opportunity cost
The retained portion may be refunded only after the trailer is reassigned to a new customer at Seller’s discretion
Buyer acknowledges that certain configurations are highly specific and may require extended time to resell or may
not be resellable at all.
Post-Powder Coating Deposit Refundability– Discretionary Only
Once powder coating or final finishing has occurred:
Deposits are non-refundable by default
Any refund or credit is granted solely at Warhorse Overland’s discretion
No obligation exists to resell or reassign the trailer
Custom & Highly Specific Builds Deposit Refundability
Trailers involving non-standard dimensions, colors, layouts, accessories, electrical systems, or customer-specified
modifications may be deemed massively custom and are not eligible for the refund structure above.
Seller retains sole discretion to classify a build as custom.
No Guarantee of Resale Timing
Seller makes no representation or guarantee regarding the timing or likelihood of resale of a canceled build.
Refunds contingent on reassignment are not tied to any deadline.
Courtesy Review; No Precedent
Seller may review cancellation requests on a case-by-case basis as a courtesy only. Any accommodation does not
create precedent, obligation, or expectation for future transactions.
3. Assumption of Risk
Buyer acknowledges that the use, towing, loading, unloading, transport, storage, maintenance, modification, and
off-road operation of the Product involves inherent risks, including bodily injury, death, property damage, vehicle
damage, and economic loss.
Buyer voluntarily and knowingly assumes all risks, whether known or unknown, foreseeable or unforeseeable.
4. Release & Waiver of Liability
To the fullest extent permitted by law, Buyer hereby releases, waives, discharges, and agrees to hold harmless
Warhorse Overland, LLC, its members, employees, contractors, suppliers, and agents from any and all claims or
liabilities, including those arising from ordinary negligence, related to the purchase, possession, transport, use,
misuse, or modification of the Product.

5. Third-Party Components & No Responsibility for Modifications
Seller does not manufacture or warrant third-party components, including but not limited to suspension systems, electrical
components, couplers, jacks, wheels, tires, lighting, or accessories.
All warranties, if any, for third-party components are provided solely by their respective manufacturers. Seller assumes no liability
for failures, defects, or performance issues related to such components.
Seller assumes no responsibility for:
modifications, repairs, or alterations after delivery
third-party accessories or installations
improper loading, towing, or vehicle mismatch
6. Wheel Adapters / Spacers (Special Notice)
If Buyer elects to use wheel adapters, spacers, or similar components—whether installed by Seller at Buyer’s request or by others—
Buyer acknowledges such use may compromise safety or performance and assumes all associated risks. Seller disclaims all liability
arising from their use.
7. Buyer Maintenance Responsibility
Buyer is solely responsible for the continued safe operation, inspection, and maintenance of the Product. Failure to maintain the
Product may result in unsafe conditions and void any applicable support.
Buyer responsibilities include, without limitation:
torquing lug nuts to manufacturer specifications (110 ft-lbs unless otherwise specified)
inspecting and greasing suspension components
verifying axle pins, clips, and cotter pins are secured
inspecting fasteners, frame, welds, and body panels
checking tire pressure, coupler, safety chains, and breakaway systems
testing all electrical systems and lighting
charging and monitoring battery systems (if equipped)
Buyer assumes all risk arising from improper maintenance, overloading, imbalance, off-road use, or unauthorized modification.
8. Shipping Terms & Risk of Loss
All Products are sold FOB Origin (Seller’s facility) unless expressly stated otherwise in writing. Risk of loss transfers to Buyer upon
delivery to the carrier.
Seller is not responsible for loss, theft, damage, or delay occurring during transport by third-party carriers. Shipment insurance is
Buyer’s responsibility.
9. Inspection & Acceptance Upon Delivery
Buyer must inspect the Product immediately upon delivery. Any transport-related damage or missing items must be noted with the
carrier and reported to Seller within 24 hours.
Failure to do so constitutes acceptance of the Product as delivered.
10. Returns, Refunds & Rescission
All sales are final. Returns are not accepted unless expressly approved in writing by Seller.
If Seller elects, as a courtesy, to unwind or rescind a sale:
Buyer bears all return logistics, costs, and risk of loss
Returned Products must be complete and in substantially the same condition
Refunds, if any, are limited to the purchase price paid, less damage, missing components, wear, or costs incurred
Seller is not responsible for return shipping unless expressly agreed in writing.
11. Limitation of Liability
To the fullest extent permitted by law, Seller shall not be liable for indirect, incidental, consequential, or punitive damages, including
personal injury, property damage, or economic loss.
12. Intellectual Property
All designs, plans, schematics, specifications, and Product designs are the exclusive intellectual property of Warhorse Overland,
LLC. Buyer shall not reproduce, reverse-engineer, distribute, or create derivative works without prior written consent.
13. Compliance & Intended Use
Products are intended for off-road and recreational use unless expressly stated otherwise. Buyer is responsible for compliance with
all applicable laws and regulations in the jurisdiction of use or registration.
14. Sales Tax
Buyer is responsible for applicable Colorado state sales tax (currently 2.9%) unless the transaction qualifies for lawful exemption.
Tax must be paid prior to pickup or delivery.
15. Governing Law & Entire Agreement
This agreement is governed by the laws of the State of Colorado and constitutes the entire agreement between the parties. No
modification is valid unless in writing and signed by both parties.
